1. Acceptance of Terms
By accessing our website (devzoic.com), engaging our development services, or using any software solution built by DevZoic, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please refrain from using our services. These Terms apply to all visitors, clients, and collaborators.
2. Services Overview
DevZoic is a full-service software development agency offering:
- Web Application Development: Custom web apps, SaaS platforms, e-commerce solutions, CMS, and enterprise systems using Laravel, React, Next.js, Vue.js, and other modern frameworks.
- Mobile App Development: Native and cross-platform mobile applications for iOS and Android using Flutter, React Native, Swift, and Kotlin.
- AI & Machine Learning Solutions: Custom AI agents, chatbots, RAG systems, LLM integrations, computer vision, and intelligent automation using Python, TensorFlow, PyTorch, and OpenAI.
- UI/UX Design: User research, wireframing, prototyping, and high-fidelity interface design using Figma, Adobe XD, and Sketch.
- Ongoing Support & Maintenance: Bug fixes, performance optimization, security updates, and feature enhancements for deployed solutions.
3. Project Engagement
All development projects are governed by a separate Service Agreement or Statement of Work (SOW) that outlines:
- Project scope, deliverables, and technical specifications.
- Timeline, milestones, and delivery schedule.
- Payment terms, billing schedule, and accepted payment methods.
- Revision rounds, change request procedures, and approval workflows.
- Warranty period and post-launch support terms.
In case of conflict between these Terms and a signed SOW, the SOW shall prevail for that specific project.
4. Client Responsibilities
As a client, you agree to:
- Provide accurate, complete, and timely project requirements, content, and assets.
- Review and provide feedback on deliverables within agreed timelines.
- Ensure all content, data, and materials provided to DevZoic do not infringe third-party intellectual property rights.
- Make payments according to the agreed schedule. Late payments may result in project suspension.
- Maintain the confidentiality of any login credentials or access provided by DevZoic.
5. Intellectual Property
- Client Deliverables: Upon full payment, all custom code, designs, and assets developed specifically for your project are transferred to you, unless otherwise stated in the SOW.
- DevZoic IP: Pre-existing tools, libraries, frameworks, and proprietary methodologies used in development remain the property of DevZoic. We grant you a perpetual, non-exclusive license to use them as part of your delivered solution.
- Open Source: Solutions may include open-source components governed by their respective licenses (MIT, Apache, GPL, etc.). A list of such components will be provided upon request.
- Portfolio Rights: DevZoic reserves the right to showcase delivered work in our portfolio and marketing materials, unless a confidentiality clause is agreed upon.
6. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement, including but not limited to business strategies, technical architectures, source code, API keys, and user data. Confidentiality obligations survive the termination of the engagement for a period of 3 years.
7. Warranties & Disclaimers
- DevZoic warrants that all deliverables will substantially conform to the agreed specifications for a period of 30 days after final delivery ("Warranty Period").
- Bugs or defects reported during the Warranty Period will be fixed at no additional cost.
- We do not guarantee that software will be error-free, uninterrupted, or compatible with all third-party services beyond those specified in the SOW.
- Services are provided "as is" beyond the Warranty Period unless a maintenance agreement is in place.
8. Limitation of Liability
DevZoic's total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific project in question. We are not liable for indirect, incidental, consequential, or punitive damages including but not limited to lost profits, data loss, or business interruption, regardless of the cause of action.
9. Termination
- By Client: You may terminate the engagement with 15 days written notice. Fees for work completed up to the termination date remain payable.
- By DevZoic: We may terminate if the client breaches these Terms, fails to make payments, or provides harmful/illegal content. Deliverables completed will be provided upon settlement of outstanding fees.
- Effect: Upon termination, both parties shall return or destroy confidential materials of the other party.
10. Dispute Resolution
Any disputes arising from these Terms or our services shall be resolved through:
- Step 1: Good-faith negotiation between both parties within 30 days.
- Step 2: Mediation by a mutually agreed mediator if negotiation fails.
- Step 3: Binding arbitration or litigation in the courts of Bahawalpur, Punjab, Pakistan.
These Terms are governed by the laws of Pakistan.
11. Changes to Terms
We may update these Terms periodically. Material changes will be communicated to active clients via email. Continued use of our services after changes constitutes acceptance of the updated Terms. We recommend reviewing this page regularly.
